Flattening your stomach requires a combination of fat loss via diet and exercises that work the abdominal muscles to tighten up the muscles underneath. If you tend to gain weight around your middle first, chances are this will be the last weight to go since your body takes off weight in the reverse order you put it on. You cannot "spot train" an area to lose weight only there.
That being said, this LoveToKnow article, Stomach Flattening Exercises, offers some great exercises that should help to strengthen your upper and lower abs.
